These Terms of Service ("Terms") govern your access to and use of the services provided by Bylne, Inc. ("Bylne," "we," "us," or "our"), including our website at bylne.com and our platform applications (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Service Description

Bylne provides an AI-powered workspace designed for journalists and newsroom professionals. Our platform offers tools for research, writing, source management, fact-checking, transcription, and editorial workflow management. The Services are intended for professional journalism use.

2. User Accounts

To access our Services, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or use of your account

You must be at least 16 years old to create an account. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not:

  • Use the Services to generate or distribute misinformation, fabricated content, or deepfakes
  • Attempt to reverse-engineer, decompile, or extract source code from our platform
  • Interfere with or disrupt the integrity or performance of the Services
  • Access the Services through automated means (bots, scrapers) without written permission
  • Use the Services to violate any applicable law or regulation
  • Share your account credentials with unauthorized third parties
  • Upload malware, viruses, or other harmful code

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice depending on the severity of the violation.

4. Intellectual Property

Your Content

You retain full ownership of all content you create, upload, or store through our Services, including articles, drafts, research notes, source documents, and transcriptions ("Your Content"). We do not claim any intellectual property rights over Your Content.

By using our Services, you grant us a limited license to host, store, and process Your Content solely for the purpose of providing and improving the Services. This license terminates when you delete Your Content or close your account.

Our Platform

The Bylne platform, including its design, features, code, trademarks, and documentation, is owned by Bylne, Inc. and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or brand elements without prior written consent.

5. Subscriptions and Payment

Access to certain features requires a paid subscription. By subscribing, you agree to pay the applicable fees as described on our pricing page. Subscriptions renew automatically at the end of each billing period unless canceled before the renewal date.

We may change our pricing with 30 days' advance notice. Price changes will take effect at the start of your next billing period following the notice.

Refunds are handled on a case-by-case basis. If you are dissatisfied with the Services, contact us at valter@bylne.com within 14 days of your payment.

6. AI-Generated Outputs

Our platform uses artificial intelligence to assist with research, summarization, transcription, and other editorial tasks. AI-generated outputs are provided as suggestions and drafts — they should always be reviewed and verified by a human editor before publication.

Bylne does not guarantee the accuracy, completeness, or suitability of any AI-generated content. You are solely responsible for verifying and editing all content before publication.

7. Service Availability

We strive to maintain high availability of our Services but do not guarantee uninterrupted access. The Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time. In the event of a significant service discontinuation, we will provide at least 90 days' notice and assist with data export.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR AVAILABLE AT ALL TIMES.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BYLNE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Bylne and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

11. Termination

You may cancel your account at any time through your account settings or by contacting us. Upon cancellation, your access to paid features will continue until the end of your current billing period.

We may suspend or terminate your account if you violate these Terms, fail to pay applicable fees, or if we are required to do so by law. Upon termination, we will provide a reasonable opportunity to export Your Content, except in cases of serious Terms violations.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in New York County, New York.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on our website at least 30 days before taking effect. Your continued use of the Services after the effective date of revised Terms constitutes acceptance of the changes.
